Meaning
Corporate reorganization transactions involving the transfer of shareholdings across national boundaries allow multinational firms to adjust their holding structures. Through cross border equity restructuring, foreign investors can reallocate ownership between offshore holding companies and onshore Chinese subsidiaries. This mechanism allows the redistribution of assets and liabilities to align with global corporate strategies or tax optimization targets.
It is governed by both corporate laws and foreign investment regulations of the participating jurisdictions, requiring coordination across multiple sovereign systems.
Approval Procedure
Regulatory clearances must be secured from the Ministry of Commerce and the State Administration for Market Regulation before the transaction can be finalized. This process involves updated foreign investment filings and revised business licenses. The restructuring often triggers anti-monopoly filings if specific turnover thresholds are exceeded.
Tax Concession
Special tax treatment allows qualifying enterprises to defer enterprise income tax liabilities on the capital gains generated by the share transfer. To qualify for this deferral under Chinese tax law, the transaction must possess a reasonable commercial purpose rather than a primary aim of tax avoidance. In addition, the equity holding relationship must remain stable for a mandatory period following the restructuring.
Execution Constraint
Capital controls and foreign exchange registrations present significant administrative hurdles during the implementation of these transactions. The State Administration of Foreign Exchange monitors the flow of capital arising from equity valuations and share sales. Unrealistic valuations or lack of genuine underlying assets can result in the rejection of necessary foreign exchange accounts, halting the entire corporate reorganization.
