This process involves the use of private investigators, legal counsel, and the court’s own electronic inquiry systems to uncover the financial footprint of a counterparty who may be hiding wealth to avoid payment.
It applies to both domestic companies and foreign entities with operations in China, setting the limits for what can be seized to satisfy a debt. The success of this discovery determines the feasibility of pursuing a claim through the full judicial process.
Investigation Protocol
The search for assets often begins with public records available through the State Administration for Market Regulation and the national real estate registry. Lawyers can obtain information about a company’s registered capital, its major shareholders, and any land use rights it holds. More detailed counterparty asset discovery requires the cooperation of the court once a case is filed.
Under the Civil Procedure Law, an applicant can request the court to issue an order for asset preservation, which triggers a search of the national online query and control system. This system connects the judiciary to thousands of banks and financial institutions, allowing for the rapid identification of liquid funds. The court can also investigate a debtor’s equity in other companies or their rights to receive payments from third parties.
This multi-layered approach ensures that the creditor has a comprehensive view of the debtor’s financial position.
Information Access
Accessing non-public financial data requires a court order, as banks and other institutions are prohibited from disclosing client information to private individuals. Once a judgment is final, the court has the authority to compel the debtor to report their assets under the threat of penalties or detention. Counterparty asset discovery during this phase is more aggressive, with the court having the power to search the debtor’s premises and seize accounting books.
The creditor can also apply for an investigation order that allows their lawyer to visit banks or government agencies to gather evidence on behalf of the court. Seizure Mechanism
Once assets are discovered, the court moves to freeze or seize them to prevent dissipation. If the discovery reveals that assets have been moved fraudulently, the creditor can initiate a separate lawsuit to revoke those transfers.
This adds a layer of protection for the creditor, ensuring that the legal process is not undermined by the debtor’s dishonesty. The boundary of discovery is limited by the privacy rights of the debtor and the confidentiality of trade secrets, but these are generally subordinated to the need for justice in a debt recovery case. The final goal is to secure enough assets to cover the principal debt, the interest, and the legal costs.
