Administrative Sequence
Establishing a liquidation committee is the first statutory requirement after the corporate decision to dissolve. Within fifteen days of this decision, the company must register the committee members with the local registry to formally begin the wind down process.
Financial Liability
The primary focus of the liquidation committee is the resolution of outstanding debts and the payment of statutory employee severance. Local tax bureaus execute a comprehensive audit of the company’s books for the past three fiscal years before issuing a tax clearance certificate. Any unpaid import duties identified by customs authorities must be settled, and pending disputes with domestic suppliers must be resolved or secured through an onshore escrow account.
Under the PRC Company Law, directors who distribute corporate assets to shareholders before satisfying all creditors face personal liability for the remaining debts.
