A legal risk management contract establishes strict control protocols for the possession and usage of an enterprise’s official stamps to prevent unauthorized transactions. Under Chinese corporate governance rules, a corporate chop custody agreement is executed to divide custody of different company seals among designated managers and protect the business from fraudulent contracting or asset dissipation. The document identifies who holds the official company chop, the financial chop, and the legal representative chop, and defines the procedure required to release these stamps for use.
This arrangement creates a system of checks and balances where no single individual can unilaterally execute a transaction or bind the company to a contract. Having this agreement in place is a fundamental defense for foreign investors who cannot maintain daily physical presence at their Chinese subsidiary.
Custody Procedure
The execution of the contract requires a physical and digital log to track every instance of stamp application. Authorized personnel must submit a written request detailing the contract to be signed, the identity of the counterparty, and the specific stamps required. The designated custodian reviews this request against the approved budget and delegation of authority matrix before retrieving the chops from a secure, dual-locked safe.
Each use must be recorded in the log, noting the date, time, requester name, and the number of pages stamped. Digital monitoring systems, including secure stamp boxes with integrated cameras, are increasingly used to capture images of every stamped page in real time. These images are transmitted to the parent company to ensure that no unapproved modifications have been made to the documents.
Authorization Level
Different corporate chops represent distinct levels of authority and must be managed according to the severity of their legal impact. The official company chop holds the highest level of authority and can bind the company to any contract, including sales agreements, lease contracts, and employment relationships. The financial chop is required to open bank accounts, authorize bank transfers, and issue official invoices, and it is usually held by a senior finance manager.
The legal representative chop represents the personal signature of the designated legal representative of the company and is used to authorize statutory filings or corporate restructuring documents. By separating these chops among different employees, the company minimizes the risk of internal collusion or unauthorized actions. The board of directors determines these custody assignments and must approve any change in custodians.
Remedial Recourse
When a custodian breaches the agreement by applying a corporate chop to an unauthorized document, the company faces immediate legal consequences. Under Chinese civil law, a contract stamped with the official corporate chop is generally presumed valid and binding on the company, even if the custodian acted without internal authorization. To challenge the validity of such a contract, the company must prove that the counterparty acted in bad faith and knew that the custodian lacked the authority to use the chop.
This burden of proof is high, which makes preventive custody measures far more effective than subsequent court actions. If unauthorized usage is discovered, the company must immediately report the incident to the local Public Security Bureau to cancel the compromised chops and secure new ones. This report provides a basis for the company to seek damages from the breaching custodian in a Chinese court.
It also serves to protect the company from liability for any subsequent transactions executed with the stolen or unauthorized stamps.
