Court-ordered dissolution processes administered by judicial panels are used to wind up insolvent or deadlocked enterprises that fail to reorganize voluntarily. Under Chinese corporate rules, compulsory liquidation occurs when shareholders or creditors petition the court to assume control of the winding-up of an entity. This procedure ensures that remaining assets are distributed in a transparent and legally compliant manner.
Procedural Trigger
Judicial intervention is initiated when a company has its business license revoked, is ordered to close, or fails to liquidate within the statutory timeframe after voluntary dissolution. The court appoints a liquidation committee to manage compulsory liquidation once it approves the petition from the affected stakeholders. This committee replaces the board of directors and assumes all executive powers.
Administrative Responsibility
The appointed committee holds the responsibility to investigate the company’s financial status and compile a complete inventory of assets. In compulsory liquidation, the court-appointed administrators must report regularly to the judicial panel and obtain approval for any major asset disposals. The committee must also handle unresolved lawsuits and prepare the final liquidation report for court approval.
Failure to perform these duties diligently can lead to personal liability for the committee members.
Asset Distribution
Distribution of the remaining corporate funds must follow the strict priority order established by insolvency rules. Secured creditors are paid first from the collateral, followed by liquidation expenses, outstanding employee salaries and tax liabilities. Any residual value after compulsory liquidation is distributed to the shareholders in proportion to their equity holdings.
The procedure concludes only when the court approves the final report and the enterprise is officially deregistered with the local market supervision administration. This deregistration terminates the corporate existence of the firm and releases the administrators from their duties, effectively closing all legal files associated with the defunct enterprise.
