A legal relationship under Chinese civil law governs the temporary transfer of possession of personal property without transferring ownership. A civil code bailment arises when a foreign buyer provides raw materials or specialized equipment to a Chinese manufacturer for assembly or processing. The law stipulates that the receiving factory must store the goods securely and return them or the processed products after the contract is completed.
This relationship prevents the manufacturer from using the goods as collateral for local loans or from claiming ownership of them during an insolvency proceeding, thereby protecting the foreign buyer’s assets from third-party claims.
Statutory Obligation
The bailee must exercise reasonable care in safeguarding the bailed property while it resides within their facility. If the bailed items are damaged or lost through negligence, the bailee faces direct liability for compensation under the Civil Code of the People’s Republic of China. This liability is strict unless the factory proves that the loss occurred through force majeure or the inherent decay of the goods.
Liability Allocation
Parties to the manufacturing contract should explicitly define the standards of care and insurance requirements in the written agreement. In general trade practice, the foreign party retains title to the tools while the local operator assumes operational risk and the cost of routine maintenance. When a dispute arises, Chinese courts look first to these custom contractual clauses before applying default civil code provisions.
Enforcement Mechanism
Recovering property from a defaulting Chinese counterparty requires filing a civil lawsuit in the local people’s court with jurisdiction over the factory. The bailor must present clear documentation of the original delivery, including customs declaration forms, import receipts, and written bailment certificates. Once the court issues an order, enforcement officers can enter the premises to seize and return the specified equipment or materials to the foreign owner.
