Meaning
A statutory tax assessed on the profits realized by enterprises and individuals from the sale or transfer of non-inventory assets, such as real estate, equity shares, and intellectual property, within the jurisdiction of the People’s Republic of China. Although China does not maintain a standalone capital gains tax code, capital gains tax China is collected as part of the Enterprise Income Tax for corporate entities and Individual Income Tax for individuals. The tax applies to both resident and non-resident taxpayers, with different rates and administrative mechanisms depending on the residency status of the seller.
Asset Categories
Real estate transfers and equity transactions generate most of the taxable capital gains in industrial zones. Non-resident enterprises are subject to a withholding tax rate of ten percent on gains from the transfer of equity in Chinese resident companies. Domestic enterprises must include capital gains in their annual taxable income, which is generally taxed at the standard enterprise income tax rate of twenty-five percent.
Fiscal Assessment
The taxable gain is calculated by deducting the original acquisition cost and related transaction expenses from the gross transfer price. In equity transfers, the tax bureau closely scrutinizes the valuation of the target company to ensure the transfer price is not artificially low. If the price is deemed unjustifiably low, the tax authority has the legal power to adjust it using net asset value or other valuation methods.
This prevents multinational corporations from shifting profits out of China through transfer pricing schemes. Local tax officials regularly audit asset disposal transactions that happen close to corporate liquidation to prevent tax evasion.
Administrative Action
Withholding agents must declare and pay the tax to the local tax bureau within seven days of the transaction date. If the foreign seller fails to pay and the withholding agent fails to withhold, the tax authority can pursue the foreign seller directly for the outstanding amount. The local tax office will issue a tax payment certificate only after full payment is confirmed.
This certificate is required to complete the legal registration of the new shareholder with the local market supervision bureau.
