Meaning
Procurement instruments secure production availability within a specific timeframe for a buyer. A capacity reservation contract functions as a binding commitment where a manufacturer pledges a defined portion of their facility output to a single client. This agreement establishes a priority right to factory floor time and labor resources that might otherwise be sold to competitors.
The document specifies the total volume available and the window during which the buyer must place purchase orders to utilize that space. Factories use these agreements to stabilize their production forecasts and secure long term revenue commitments from international partners.
Reservation Payment
Financial deposits confirm the validity of the space request before production begins. The capacity reservation contract requires an upfront fee that often remains nonrefundable if the buyer fails to utilize the allotted time. This payment compensates the supplier for the opportunity cost of turning away other business to keep the line open.
It acts as a security against sudden order cancellations that would leave equipment idle.
Enforcement Limit
Administrative practice in China requires that these agreements align with the actual operational limits of the facility to remain enforceable. If a capacity reservation contract claims a volume exceeding the verified nameplate capacity of the plant, the local courts may view the surplus as an impossible performance. The Civil Code of the People’s Republic of China governs how damages are calculated when a factory oversells its lines.
Parties must demonstrate that the reserved capacity was genuinely withdrawn from the market to claim full compensation for a breach.
Allocation Mechanism
Production planning software tracks the utilization of the reserved space against the contractual limit. When a buyer submits a purchase order under a capacity reservation contract, the system deducts that volume from the remaining balance of the slot. If the buyer exceeds the reserved amount, the manufacturer typically moves the excess to a standard queue with longer lead times.
This mechanism ensures that the priority status applies only to the quantity specified in the original filing.
