For any foreign investor, managing this instrument is a primary operational requirement for securing corporate cash flows and preventing unauthorized funds transfer.
Administrative Registration
The creation and registration of this financial seal are governed by strict public security regulations to prevent forgery and unauthorized use. When a foreign-invested enterprise is established, the application to carve the caiwuzhang must be submitted to the local Public Security Bureau alongside the corporate business license. The seal itself must contain a unique identification code and must be carved by an officially licensed workshop.
The local commercial bank where the corporate accounts are held will record the impression of the registered seal on their signature cards. This stored impression is used to manually and electronically verify all subsequent paper-based payment orders and bank drafts. Any change in the design or ownership of the seal requires a formal de-registration and re-carving process, which must be publicized on official government networks to be legally effective.
Operational Custody
Preventing the unauthorized use of this financial seal requires the implementation of strict internal control protocols and physical segregation of duties. The caiwuzhang is usually kept in a secure, fireproof safe with access restricted to the chief financial officer or a designated corporate custodian. Under standard governance practices, the person who holds this seal must not also hold the company’s official corporate chop or the personal seal of the legal representative.
This physical separation prevents a single employee from unilaterally executing bank transfers or withdrawing corporate funds. Foreign parents must establish clear written policies that govern when, where and by whom the seal can be applied to financial documents. When unauthorized use of this financial seal occurs, the enterprise must act immediately to limit its legal and financial liabilities. The caiwuzhang can become a source of major litigation if used by a disgruntled employee to withdraw funds or issue fraudulent promissory notes. To counter such actions, the foreign parent must file an immediate report with the local police and the company’s bank to freeze the accounts.
It must also initiate an administrative filing to declare the seal invalid and request the carving of a replacement. This administrative action requires submitting proof of unauthorized use or loss, which can take several weeks to process through the local Administration for Market Regulation. During this transition period, corporate financial operations are effectively frozen, highlighting the need for secure custodial management.
