Meaning
Legal instruments that transfer the ownership of intellectual property rights, contracts, or other assets from one entity to another represent a common method for reallocating commercial interests. In Chinese civil law, an assignment agreement requires registration with the China National Intellectual Property Administration (CNIPA) to affect third parties when transferring patents or registered trademarks. This transfer process remains incomplete until the administrative authority publishes the official registration notice.
Contractual Transfer
Formal execution of the contract is the first step in the transfer of patent rights or registered designs. For foreign assignors, the civil law framework dictates that the assignment agreement must be accompanied by a power of attorney and notarized corporate identity documents. Submitting these items to the CNIPA ensures the formal examination commences without delay.
Administrative Registration
Registration remains the legal mechanism that completes the transfer of title. Under Chinese practice, the assignee cannot bring an infringement action or license the technology to third parties until the registration of the assignment agreement is finalized and published. The process takes several weeks to complete.
Financial Settlement
Cross-border payments associated with the transfer of technology must comply with local tax and foreign exchange rules. The local tax bureau must issue a tax clearance certificate before the bank can process the outward remittance of the assignment fee.
