Meaning
Punitive measure applied to withholding agents who fail to withhold or collect tax as required by law. Under the tax administration and collection law, an article 69 penalty ranges from fifty percent to three times the amount of the unpaid tax. This financial sanction targets the party responsible for the payment in an equity transfer or service contract.
Withholding Obligation
Responsibility for tax collection falls on the purchaser or the entity making the payment to a non-resident. If the buyer pays the full purchase price without deducting the required capital gains tax, they become liable for an article 69 penalty during a subsequent audit. The tax bureau issues a formal notice demanding both the original tax and the calculated fine.
Graduated Fine
Severity of the non-compliance determines the multiplier used by the tax authority. A first-time oversight might result in the minimum fifty percent surcharge. Deliberate evasion or repeated failure to cooperate with tax officials often leads to the maximum three hundred percent article 69 penalty.
Liability Limitation
Early disclosure provides a path to reduce the financial impact of the sanction. If the withholding agent reports the transaction and assists the bureau in collecting the tax from the seller before an audit begins, the penalty may be waived. This incentive encourages compliance in complex cross-border acquisitions where the tax status is uncertain.
