Meaning
Legal remedies under Chinese labor regulations establish financial obligations for employers who enforce post-termination restrictions on former personnel. Article 23 statutory compensation represents the mandatory monthly payments that a company must provide to an employee during the restricted period of a non-compete agreement. Under the PRC Labor Contract Law, this financial obligation arises when the employer elects to restrict the employee from working for competitors.
If the employer fails to pay this amount for three consecutive months, the employee may request the termination of the non-compete obligation through labor arbitration.
Mandatory Compensation
Financial calculations for these payments typically depend on local judicial interpretations and municipal guidelines rather than a single national rate. Although the national baseline requires at least thirty percent of the average monthly salary earned during the last twelve months of employment, cities like Shanghai or Shenzhen sometimes apply specific local standards or maximum caps. The calculation must meet the local minimum wage requirements to remain valid under regional administrative scrutiny.
Courts will invalidate the restriction if the offered amount falls below these thresholds without corrected payments. Furthermore, the employer cannot unilaterally reduce this amount once the employment contract concludes, as the pre-existing agreement binds both parties under the supervision of the local bureau of human resources and social security.
Payment Protocol
Administrative procedures require the distribution of funds to occur on a monthly schedule following the formal termination of the labor relationship. When a foreign invested enterprise establishes these agreements, the timing and currency of the transactions must comply with Chinese foreign exchange controls and tax filing regulations. Employers must withhold individual income tax on these disbursements as statutory withholding agents.
Failure to establish a clear paper trail of monthly bank transfers often exposes the entity to claims of breach.
Termination Remedy
Judicial recourse allows the restricted party to petition for release from the non-compete obligations if the employer defaults on the financial transfers. A three-month period of non-payment allows the employee to initiate labor arbitration to dissolve the agreement and demand the accrued arrears. Arbitral tribunals in China enforce this timeline strictly to prevent companies from locking employees out of the labor market without compensation.
The release does not relieve the employer from paying the outstanding debt incurred during the active months.
