Meaning
Statutory procedure for the reduction of registered capital defines the mandatory steps a limited liability company or joint stock company must follow to decrease its stated capital base. Under the 2023 revision of the PRC Company Law, article 224 requires a formal resolution by the board or shareholders and the preparation of a current balance sheet. This process ensures that the company remains solvent while returning value to its owners.
Creditor Protection
Companies must notify all known creditors within ten days of the resolution to reduce capital. Public notice in a recognized newspaper or via the National Enterprise Credit Information Publicity System is required within thirty days to reach unknown parties. Creditors retain the right to demand immediate repayment or the provision of a guarantee before the reduction proceeds to final registration.
This mandatory waiting period allows stakeholders to protect their financial interests before the asset pool of the corporation is legally diminished.
Capital Reduction
The legal framework dictates that the amount of the reduction must correspond to the actual financial position of the firm. Article 224 prohibits any decrease that leaves the company unable to meet its existing debt obligations. Shareholders generally receive distributions in proportion to their holdings unless the articles of association specify a different arrangement.
Compliance Filing
Finalization of the process requires an update to the business license through the local State Administration for Market Regulation. The submission includes the shareholder resolution, proof of public notice, and a statement regarding debt clearance or guarantees. Registration of the change provides the necessary legal finality for the new capital structure.
