A commercial contract establishes the relationship between a foreign exporter and a licensed domestic import agent in China. This document, known as an agency import agreement, details the scope of authority granted to the agent to clear goods through customs on behalf of the beneficial owner. The contract defines the responsibilities of both parties regarding the truthfulness of import declarations.
It ensures that the domestic entity behaves as a nominal importer while the foreign entity retains commercial ownership.
Contractual Distribution
The allocation of rights and duties under this arrangement is governed by Chinese contract law. An agency import agreement separates the physical logistics of importation from the commercial risk of the transaction. The agent receives a fee for administrative clearance.
The contract must designate which party obtains the necessary import licenses or regulatory approvals from ministries like the Ministry of Commerce.
Financial Indemnity
Financial covenants secure the agent against potential losses arising from incorrect declarations made by the principal. The agency import agreement normally contains clauses requiring the beneficial cargo owner to deposit the full amount of customs duties and value added tax into the agent’s account before customs clearance. This protects the agent from credit risk.
If customs assesses additional duties due to a valuation dispute, the agent has the right to use these funds or demand immediate reimbursement under the indemnification clauses.
Liability Burden
Statutory liability for customs violations remains with both the agent and the beneficial owner depending on the nature of the breach. While the agency import agreement establishes that the principal must provide accurate pricing and product information, the customs administration holds the agent of record legally liable for any discrepancies. If the agent fails to exercise reasonable care in verifying the documentation, they face administrative fines.
The agent cannot use the private agreement to avoid statutory obligations to the state. The beneficial owner must indemnify the agent for these fines only if the contract has been drafted to cover such eventuality.
